Hideyuki Sakai is a partner at Anderson Mori & Tomotsune and one of Japan’s leading authorities in insolvency and financial restructuring. Prior to joining Anderson Mori, he was a managing partner of Bingham Sakai Mimura Aizawa, a joint enterprise established between Bingham McCutchen LLP., a leading US law firm, and Sakai & Mimura, which he founded in 1995.

Mr. Sakai focuses on bankruptcy, workouts, civil rehabilitation and other proceedings involving insolvency procedures. He frequently represents financial institutions and large creditor groups in complex debt restructurings and international insolvency matters. He has also served as court-appointed trustee in high-profile cases and as mediator in out-of-court ADR proceedings.

Additionally, Mr. Sakai has extensive experience in cross-border M&As, complex commercial litigation and crisis management.

Anderson Mori & Tomotsune has extensive insolvency and bankruptcy experience and we specialize in providing high-caliber advice to corporations and major financial institutions on the liquidation of insolvent companies in Japan. Our experience encompasses the full spectrum of legal rehabilitation proceedings in Japan such as bankruptcy (hasan), corporate reorganization (kaisha kosei) and civil rehabilitation (minji saisei), as well as voluntary liquidation proceedings such as Turnaround ADR proceedings and those involving the Resolution and Collection Corporation. Our Firm’s excellent reputation in the market was recently affirmed when we were lauded by The Legal 500 in 2010 as one of the leading insolvency firms in Japan. As a further testament to the strong reputation of our insolvency practitioners, they are regularly appointed as bankruptcy trustees and supervisors by the courts.

Our team of accomplished insolvency practitioners, which is well regarded by clients and peers alike, offers a one-stop shop to clients looking for a full range of insolvency related legal services, including the collection of claims, assignment of obligations, negotiations with insolvent companies and their trustees, provision of DIP financing to insolvent borrowers and a diverse array of other services on behalf of sponsor DIP lenders and creditors. AM&T recently advised a major creditor with secured and unsecured claims in the corporate reorganization of the Japan Airlines Group. We also represented one of the major sponsors in the corporate reorganization of Kyouei Insurance Co., Ltd. Other notable mandates include representing one of the largest creditors in the corporate reorganization of, and Turnaround ADR proceedings involving, Willcom, Inc. and representing US-based finance creditors in the civil rehabilitation of Lehman Brothers Holdings Inc.

AM&T is also at the forefront of restructuring practice in Japan, with our clients benefiting from our Firm’s comprehensive experience amassed from decades of practice in, among other areas, corporate acquisitions and alliances and structured finance. Our insolvency practitioners are highly proficient in DIP financing, debt-equity swaps and pre-packaged reorganizations in addition to having expertise in conventional M&A methods (e.g., assignment of businesses and company splits). Our Firm was actively involved in the restructurings of Seibu Railway Co., Ltd. and Kanebo Cosmetics Inc. Other highlights of our insolvency practice include advising on the debt-equity swap for the turnaround of The Daiei, Inc. and our Firm’s representation of DIP lenders in the provision of DIP financing to Footwork Express Co., Ltd. and Honma Golf Co., Ltd.

AM&T’s expertise extends to both cross-border and domestic bankruptcy matters. Our strong relationships with law firms around the world enables us to provide responsive and timely advice on the disposition of international assets in connection with the collapse of Japanese multinational companies. In close collaboration with leading global law firms, we regularly provide comprehensive disposition services to Japanese creditors in relation to multi-jurisdictional insolvency proceedings against international companies. Recently, we represented a Korean debtor company in protecting its properties in Japan against the recognition and enforcement in Japan of a Korean court’s judgment in insolvency proceedings.

AM&T is a full-service law firm formed by the merger and consolidation of the practices of three leading Japanese law firms: Anderson Mori, which established its reputation as one of the largest and most established international law firms in Japan since its inception in the early 1950s; Tomotsune & Kimura, particularly known for its expertise in international finance transactions; and Bingham Sakai Mimura Aizawa, a premier international insolvency/restructuring and crisis-management firm.

Our combined firm provides an exceptionally powerful value proposition. Housing all of these synergistic practices under one roof, and further increasing the scale of our resources, we are well-positioned to: (1) better serve a wide client base; (2) provide even more prompt and accurate advice across a broader spectrum of legal issues; and (3) handle the largest transactions in Japan, including those which are cross-sectoral and extremely complex.

Our combined expertise enables us to deliver advice on virtually all legal issues that may arise from a corporate transaction, including M&A, finance, capital markets, restructuring/insolvency, and litigation/arbitration. The majority of our lawyers are multi-lingual and experienced with communicating, drafting and negotiating across borders around the globe.

With a long tradition of serving the international business and legal communities, our superior expertise, coupled with our standing as one of the largest law firms in Japan, translates to not only high quality services but also time and cost efficiencies, which we share with our clients.

Our main office is in Tokyo. We also maintain offices in Nagoya, Beijing, Shanghai, Singapore, and Ho Chi Minh City, and operate a Jakarta Desk.

“Hideyuki Sakai is praised as a “remarkable insolvency specialist,” with clients saying he gives “very commercial” advice thanks to his “seniority and experience in the industry.” Market sources highlight his fluent English language capability, which enables him to provide a “really fantastic service” on cross-border bankruptcies.”
